What is the rules & procedures relating to profession tax calculation as well as profession tax payment, in case the company is having head office in Mumbai & branches in Bangalore & Chennai ??

will the pt be deducted as per the profession tax rules of different states ??

from where the profession tax should be deposited ??

I need to create a limited liability entity to run a business and am trying to decide whether to go with an LLP or a Pvt. Ltd. One of my major considerations is to have a structure that allows me to have easy access to the use the profits that will be generated in the business. Since this business will be the only source of income for me, it is important that I be able to use the money that is earned for business as well as personal requirements.

From what I understand, the only tax efficient way to take money out from a Pvt. Ltd. is by way of salary. Dividend leads to double taxation and a buyback of shares by an unlisted company would attract capital gains. Compared with this, in an LLP, although remuneration is limited, one can withdraw capital/accrued profits when required and also charge an interest on capital.

Would like to know if I am missing anything and any other inputs that would help me make a better decision. Also, as far as remuneration (salary + commission) to directors in a Pvt. Ltd. is concerned, are there any upper limits or is it left to an assessing officer to decide if the remuneration is reasonable. For e.g., if the profit after all expenses but before Directors remuneration is Rs. 1,00,00,000, what is the maximum that a Director can take as remuneration without attracting the ire of the IT department.

Please note that all Directors/Partners will be family members.

Partnership

one partner out of two partners died recently. So the partnership is dissolved. but the remaining one partner is willing to carry on the business. What to do next to proceed further with the same business ? tell me what are the rights of the legal hier of the deceased partner.?? please consult

Membership of icwa

I have cleared my icwa final and i have to apply for membership.For applying Membership there should be Work Experience of 3 Years.

I am Working in a C.A. Firm at Mumbai from last 3.5 years in Accounts, Taxation and Audit field, will this work experience eligible for applying membership.

Also i am a C.A. Final Student, i have done my articleship in the same firm for 3 years and continued as employee for 3.5 years other than articleship of 3 years.

Partnership act

Dear Sir,

Please suggest the solution for this..

we have a partnership firm registered in 1996 with 4 partners, after few years 2 partners were gone out in 2006. From 2006 the remaining two partners were carrying business up to 31/03/2013 and they intended to dissolved the firm now. (All proceedings were registered with "Register of Firms")
From this i have a doubt that the dissolution deed will make between two partners or all four partners.(if format available then kindly attached.)
