For a Private Limited Company, Annual Filling compliance(Form-66)is due for filling since March 2010, and now to update directors want to fill all pending FORMS.

Now I want to know can a CS, sign the Compliance Certificate (back dated) as

for March 2010 - signing date - 24/08/2010
for March 2011 - signing date - 26/08/2011
for March 2012 - signing date - 27/08/2012
for March 2013 - signing date - 24/08/2013
for March 2014 - signing date - 26/08/2014

Is there any low violence, would company face any problems in future...for this back dated signature.

if the audit firm has already been appointed at the AGM for a term of 5 years , as per the companies act,2013...then does their appointment need regularisation at or needs to be noted at every AGM of the meeting till the Sixth AGM???

A private limited company having two directors want to appoint an additional director.

but, one of the existing two directors is not available as he is in police custody for some reasons (not criminal reasons).

In that case, how the additional director will be appointed as there will not be sufficient quorum to convene board meeting. Is there any way out?

Also, company want to change its name. Can it be done with only one director available at the moment?

I forgot to file the auditor appointment letter with ROC for the previous year.
However I want to file the respective documents in the current year.
For the CY I have to file it in Form ADT-1.
But what about the previous year, should I file Form ADT-1 or Form 23B., as both the forms are available on MCA Portal.

There is a company which is getting only interest and rental income. There is no income form operations. Can they sell/transfer the existing assets and pay off the liabilities and then use the fast track mode to exit the company

A company was incorporated in Jan, 2014 with Mr. A & Mr. B as directors. In May, 2014 it appointed Mr. C & Mr. D as additional director. In June, 2014 Mr. A & Mr. B resigned. Now, the company has left only with two ADDITIONAL directors (Mr. C & Mr. D) who shall hold the office only upto the date of next AGM. Now, the company intends to regularize their directorship before AGM by calling an EGM.

Now my question is that who shall digitally sign the DIR 12 form. Can additional directors sign the form (regularizing their directorship).
