If there are new persons,(otherthan existing) then what kind of issue is correct. whether rights or private placement? As per the companies ACt 2013

hello, does anybody has the format for search report of a company to be prepared by a C.A?

Can a company invest its fund in fixed deposit? Will it be covered under section 179 of the Companies Act, 2013 or will section 186 will also apply or not ? As under section 186 Investment by company covers only Securities ie, Shares, debentures, bonds etc. not a fixed deposit.

Is it mandatory for a company which is registered under The Companies Act, 1956 to amend its AoA & MoA under new Companies Act 2013.

Is it a statutory requirement or a good practice to follow.

Case - A ltd. having net profit of more than Rs. 5 Crores and it is liable to spend 2% of its avg net profit of past 3 years towards CSR activities. But its profit is not in liquidity form. Can company take a loan from bank in its name to carry out CSR activities???
If Yes, what will be the consequences under companies act,2013. will it be considered as expenses towards CSR activities???

if the term of auditors, as per the companies act, 2013 completes the term of 10 years and they get an extension of 3 more years....then should they be appointed at the forthcoming AGM for a period of 3 yaers at a stretch, or should be appointed for one-one year term in respective AGMs?

Internal Audit report is required to be submitted monthly,Quarterly,Half Yearly or annually. Do the report to be filed with ROC? mention the section relevant and Please provide us a format in excel OR word of internal audit as per companies act 2013.

For a Private Limited Company, Annual Filling compliance(Form-66)is due for filling since March 2010, and now to update directors want to fill all pending FORMS.

Now I want to know can a CS, sign the Compliance Certificate (back dated) as

for March 2010 - signing date - 24/08/2010
for March 2011 - signing date - 26/08/2011
for March 2012 - signing date - 27/08/2012
for March 2013 - signing date - 24/08/2013
for March 2014 - signing date - 26/08/2014

Is there any low violence, would company face any problems in future...for this back dated signature.

if the audit firm has already been appointed at the AGM for a term of 5 years , as per the companies act,2013...then does their appointment need regularisation at or needs to be noted at every AGM of the meeting till the Sixth AGM???
