In a Private Company , I want to appoint one of Director as officer who is in default , pl. know me which which form I should file with ROC under the Companies Act, 2013

(i) is it sufficient compliance for the small company, if it hold first BM on 02nd April i.e in first half of calendar year for Disclosure of Interest by directors and second BM on 02nd Sep. i.e. in next half of calendar year for approval of accounts and Directors' Report.
(ii) In above case , gap between 2 BM will be not less than 90 days, but will be more than 120 days, is it allowed ?

I am the auditor of pvt. ltd. co.for fy 12-13 and 13-14.(co. incorporated in fy 12-13)

while filing ADT1 for fy 14-15,

1) Specify the tenure of previous appointment(s) of the auditor :- which yr data I have to give whether both yr or only fy 13-14 ??

2) what to write for Number of financial year(s) to which appointment relates ?? that seems auditor can be appointed for more than 1 yr in one AGM resolution.

I am to increase authorized capital of a private company after alteration in capital clause of MOA & AOA. Can I adopt new set of MOA & AOA as per act 2013? What will be the procedure to adopt MOA & AOA as per act 2013?

If there are new persons,(otherthan existing) then what kind of issue is correct. whether rights or private placement? As per the companies ACt 2013

hello, does anybody has the format for search report of a company to be prepared by a C.A?

Can a company invest its fund in fixed deposit? Will it be covered under section 179 of the Companies Act, 2013 or will section 186 will also apply or not ? As under section 186 Investment by company covers only Securities ie, Shares, debentures, bonds etc. not a fixed deposit.

Is it mandatory for a company which is registered under The Companies Act, 1956 to amend its AoA & MoA under new Companies Act 2013.

Is it a statutory requirement or a good practice to follow.
