Can any one tell the detailed procedure for the apppointment of First Auditor in a Private Limited Company under the Companies Act 2013. I would also like to know what are all the forms to be submitted with ROC like MGT -14, ADT - 1, GNL - 2, etc. procedural wise.
I also have a confusion whether MGT - 14 is required to be filed for registering Board Resolution for appointment of First Auditor.

There is a pvt. ltd. co. which is not doing any business. Now one of our client wants to incorporate new pvt. ltd. co. So can our client takeover the former pvt. ltd. co the one which is not doing business and change its erstwhile name and registered office address. Also the directors will change. If yes then what is the procedure to complete the above transaction including any resolutions to b passed, forms to b filed with ROC etc.

One pvt. ltd company received share application money before march 2011 and still pending for allotment as on date can the company is liable to file the form INV 5 and the same company received the notice from ROC please explain the procedure

Public Ltd Company have atleast three directors....
In this case if a public ltd company have two individual directors elected by members and one more small share holders director...
Then is this will be okay?
I filed MGT-14 with ROC (for MBP-1) two times for same company both SRN showing pending for action. Can I get refund for one and any adverse consequenses plz suggest what to do?
Is it compulsory to file MGT-14 each time whenever the directorship change and transfer of share take place in company?
Dear Experts,
In a newly incorporated Private Limited Company, the minimum authorised/paid-up Share Capital is One lakh.
Whether the said entire authorised/paid-up Capital of one lakh Capital should be shown as paid-up Capital by the Directors of the company or it may be reserved as "Paid-up capital" and "Unpaid/Reserved Capital" and in due course of time the said "Unpaid/Reserved Capital" be issued among the Directors.
Furthermore, Liabilities of the Company be Limited with the paid-up share capital of the Directors or it is limitless irrespective of shares holding in the Company.
Kindly clarify these aspects.
