There are 2 directors in a private ltd. company & further 2 directors are appointed.
Now out of 4 directors, 3 directors are willing to remove 4th director as he is not giving his resignation.
I want to ask what is the procedure to remove the 4th director by majority of other directors or by majority of shareholders.

q) 9 directors out of which three are interested and four are outside india. does a resolution by circulation can be passed?

suppose a director to whom a notice is not given objects about the validity of meeting and the meeting is considered to be void and it is the only meeting from april to june. is there any contravention u/s 285?

Maximum 2/3 directors are appointed by shareholders and maximum 1/3 directors are appointed by providers of finance. Is this provision applicable to a private company?
