Can we change the sole Articles of Association of the company and replace the article with the new one.

As lot many clauses are to be added to Articles as company is going to be listed in BSE SME

WHAT ARE THE PROCEDURES TO BE ADOPTED TO FILING THE REGISTRATION OF CHARGE WITH ROC.
PLS INFORM THE DETAILED PROCEDURE.

if person not enter the main object of private company as to take over the sole proprietary concern. but it is entered in MOA as main objective.
what is the next step?
does we have to reapply for company name in form 1A? or it does not make any difference and we can go for form 1 form company registration?

As am filling form 23AC & 23ACA of a company, there is problem in prescruitny.
It shows that at least on signature requires validation. however all signatures are valid till 2014.

what to do in this case... can anyone help me in this matter..

Hi experts,
I need your expert advise in regard to a private limited company which was incorporated 3 years ago.
In this company, unfortunately, the directors have not booked any business nor conducted any AGM or board meeting. Also the annual return of the company has not been filed for all the years since incorporation.

Please guide, as to what is the solution now:
- Can the directors start business in this company from now onwards? Will there be penalty for not conducting annual general meeting and not filing annual return?

- or would you advise to close this company and register a fresh company for the proposed business now.

Can a statutory auditor certify the forms (e.g.form 23ac and aca and 20b )of the company for which he/she is signing Audit report.

WILL IT NOT INVOLVE CERTIFICATION OF OWN WORK???

PLEASE THROW LIGHT ON THE ABOVE

Authorized and paid up share capital of my company is more than 5 crore, do we need to appoint a full time CS or can we retain a CS and obtain Compliance certificate from him/her.

My company having few shares are pending for allotment for the financial year 2012-13.
on 31st march, 2013 those pending shares are allotted.
But til to date information relating to pending shares allotment are not submitted what we can do ???
When due date for submission to ROC ? &
is there any penalty liable for late file and also suggest what procedure involve on that & what forms are required for ROC submission .
Ex:- My company name XYZ Limited.
