11 May 2013 SIR/MADAM,

WHAT ARE THE PROCEDURES TO BE ADOPTED TO FILING THE REGISTRATION OF CHARGE WITH ROC.
PLS INFORM THE DETAILED PROCEDURE.

11 May 2013 Particulars shall be filed with the ROC within 30 days of creation of charge. If particulars of charge could not be filed within 30 days, the ROC has power to extend the said period by 30 more days subject to payment of an additional filing fee.

Particulars of creation of charge shall be filed in e-form No. 8, along with the instrument creating charge.

The Registrar of Companies (ROC) ,after verification, shall register charge and issue a certificate for the creation of charge.

20 July 2025 Hereโ€™s a detailed guide on Registration of Charge with ROC (Registrar of Companies):

1. Timeframe for Filing
You must file the particulars of the charge within 30 days from the date of creation of the charge.
If not filed within 30 days, you can request an extension of another 30 days by paying an additional fee.
2. Form to be Filed
File e-Form No. CHG-1 (for creation or modification of charge).
Note: Earlier, Form 8 was used but now Form CHG-1 is applicable as per latest MCA (Ministry of Corporate Affairs) norms.

3. Documents to Attach
Instrument creating the charge (e.g., loan agreement, mortgage deed).
Board resolution approving the creation of the charge (if applicable).
Certified true copy of the instrument creating the charge.
Details of the charge such as:
Amount secured
Date of creation
Particulars of the secured creditor
Property charged
Company details, etc.
4. Filing Procedure
Log in to the MCA portal: https://www.mca.gov.in
Download or fill the CHG-1 form online.
Upload scanned copies of the required documents.
Pay the prescribed filing fees and additional fees (if delayed).
Submit the form electronically with digital signature of an authorized signatory (usually director/company secretary).
5. After Filing
ROC will verify the form and documents.
Once accepted, ROC will register the charge and issue a Certificate of Registration of Charge.
This certificate is proof that the charge is registered against the company.
