While filling Form INC-10 I come across following doubts:-
1. While attesting the photograph, do attesting authority has to sign and stamp on the photograph, if stamp need to be given on photograph than what type of stamp need to be used?

2. Where to mention the address of attesting authority?

3. Are attesting authority and witness are same person, if not than what type of details of witness need to be given?

One of my clients is having paid up capital of INR 1 lakh and is having an investor to whom he is selling 12.5% stake at INR 30 Lacs. He is planning to bring entire money into company, rather than selling his own shares out of company.
Now I want to know how he can bring in 30 lacs in company with getting involved into capital gain issue.

He might not have desired net worth in current books.

I have maintained my AOA as per co. act 1956. and there is no specific clause for issue of bonus share, but "The regulation contained in Table `A' Schedule I to the Companies Act, 1956 shall apply to the Company except in as far as otherwise expressly incorporated in these Articles"-this statement is mentioned in my AOA. As per Co. act 2013 you should have specific clause for isuue for bonus share. But in Act 2013 it is written "No provision in this shall not apply to previous law". HENCE DO I NEED TO AMMEND MY ARTICLE TO ADD SPECIFIC CLAUSE FOR ISSUE OF SHARES OR THE REFERENCE TO THE TABLE A IS SUFFICIENT?

Is it possible for private companies incorporated in 2009 to comply with filing for 2010-11,2011-12,2012-13,2013-14 or it require different procedure for taking approval of CLB.

In the case of a private ltd company with two directors with equal share holding , one of the director wants to resign and exit the company , however his resignation is not being accepted by the other director and he is not being cooperative.The director planning to resign has no control on the finances of the company . In such a a case how can he resign/exit from the company so that the legal liability due to the other director does not come on him.
