Sir Plz let me know the complete procedure related to following query:

An auditor who has filed form 23b for FY 2013-14 during 2012-13 agm has resigned w.e.f 31.07.2014 before agm for the year 2014 denying for signing Balance Sheet for FY 2013-14 due to his preoccupation in other assignments and a new auditor is to be appointed in his place for signing bs and statutory audit. Whether Adt-1 is to be filed for his apptt. or form 23b for FY 2013-14 and provide guidance regarding all other roc compliances and e-forms as on date. Its urgent sir. Plz help.

Section 165 of Companies Act 2013 specifies the number of directorships to be held by a director including alternate director. Will this limit apply to person appointed as an additional director?

MOA_Clauses to be numbered as 1st 2nd3rd Subscription clause to be numbered as 6th, MOA_a_sub cl. 2,43, 47 to 72 delete, remove from main object _crushers of beverages and, photo of subscribers needs to be affix, PAN card of all needs to file, (see Schedule I, Table F, rules Chapter II point number 13 _1 and 16 _a), ,This is last chance to comply the query if not srn may treated as NTBR. Form should be resubmitted by 15/04/2015 failing which the eForm shall be treated as invalid and shall not be taken on record. (Please refer Regulation 17 of the Companies Regulation, 1956).

My querry is:

1.Can i make other changes to MOA apart from changes mentioned above??
2..Whether I would have to upload Form 1 for resubmission.

If a company have two directors and both of them become non resident what are the consequences?
