An executive director whose term has expired. Now he has not been re-appointed for another term as Exe. Dir. Now what is his position? Is he an ordinary director liable to retire by rotation? If yes, if he wish to be reappointed in AGM, whether his wish can be overlooked? and can the company appoint any other person in his place?

Pls tell me form 8 required to be filed for corporate guarantee or not.

Also, bank has enhanced its sanctioned limit of Rs. 100 crs in whch Rs. 50 crs is bank guarantee against current assets. V have filed form 8 for total Rs.100 crs as modification but not mentioned separate limits. Is form 8 has to be filed against bank guarantee????

On acquition of more than 50% stake in a private company by a public company, the private becomes public.

But do we need to change the basic characterstics like name, share capital, no. of members, no. of directors etc. of that private company?

As per the Companies when a company increases its share capital,it pays stampduty to Government.

When company makes allotment of share out of the increasedshare capital and issue share certificates to allotees and pays stampduty on share certificate.

My question is that when the company has already paid stampduty on its share capital at the time of increasing or incorporation,
so why should it pay stamp duty on share certificates of shares issued out of the same capital for which duty has already been paid??

Is there any answer, caselaw,book which will solved the question ?

The sharehodler are our inhouse shareholders. And our company is lisited company.

And we had dispatch the balance share certificate to our RTA for dispatching, but they are demanding from us the postal receipt of the share certificate of disptach

what is the procudure
