Hi,
Does the a copy of share certificate which is being issued to the shareholders are also submitted to ROC for record.

No it is not required to submit To ROC. The share certificate should be delivered to shareholders.

Then, how does ROC understand about the share holdership of the company.
Also, what will be the issue date of certificate: date of application money or the date on which board of director resolution is passed or the actual issue date ?

The date of the share certificate would be the actual date of issue after having been approved in the Board Meeting.
For share allotment, Form 2 needs to be filed with ROC attaching the Board
Resolution which will have the details of allottees. No need to attach a copy of the share certificate.
Shareholders details including the transfers, if any,during the year (in respect of which no Form 2 need to be filed) will be reflected in the company's annual return filed under Section 159 in the form of Schedule V and Form 20.
