In a Public Limited unlisted Company the term of Managing director expired on 04/01/2011. The Board passed a resolution for reappointment of MD on 28/09/2010. The AGM of the company held on 29/09/2010 but nothing was mentioned about the reappointment of the MD. Further no forms has been filed with the ROC. Now what can be done in this case. Further i would like to add that no backdated Egm can be held. pls reply as soon as possible.

Can Anyone tell me that if the company is appointing an Additional Director in its board Meeting then can the Directors give the additional Director the authority for doing some work in the same meeting in Director Capacity to him?

Co. is filing all statutory returns till today. But no buisness activity is done by co. after 30th April,2008. balance sheet filed last year Shows Capital and current asset on liability side and Current asset, Misc Expenditure, Reserve and Surplus on Asset side.Can co apply under EES-2011

The Auditor of a Private Limited Company denied to sign the Balance Sheet nor does he agree to resign as a Statutory Auditor. The Company did not take any AGM extension and filed the unaudited Balance Sheet with the ROC.
1. Now the querry is that how the Company can remove the Auditor and appoint new one. Another important thing is that as the New Auditor have to take NOC from the previous Auditor, what to do?

2. What about the unaudited Balance Sheet already filed with ROC?

I have got a good project in the state of tamilnadu and as per them we need to have a registeration number of Tamilnadu whereas we are registered under WB-ROC. Can i apply for a new registration in the state of Tamilnadu under the same name?
