12 March 2011 Hi,

Can anybody tell me what are the topics to be discussed by the Board of Directors as per statute in the First Board meeting .

Please provide a format of the minutes of the first Board meeting.

12 March 2011 In my opinion, the following items shall be covered in the First Board Meeting:

1. To elect the Chairman of the BOD,

2. To take note of Certificate of Incorporation and Certificate of Commencement of business(applicable only in case of a Public Limited Company)

3. To take note of the MOA and AOA,

4. To take note of Registered office of the Company,

5. To fix the First Financial year of the Company,

6. To appoint First Statutory Auditors of the Company,

7. To open a Bank Account in the name of the Company,

8. To approve the preincorporation expenses,

9. To allot the shares to the Subscribers to the MOA

10. To adopt the Common Seal of the Company,

11. To grant authority to purchase books, statutory registers etc.

The First Board Meeting is to be held within 30 days from the date of incorporation of the Company.
