11 March 2011 In a Public Limited unlisted Company the term of Managing director expired on 04/01/2011. The Board passed a resolution for reappointment of MD on 28/09/2010. The AGM of the company held on 29/09/2010 but nothing was mentioned about the reappointment of the MD. Further no forms has been filed with the ROC. Now what can be done in this case. Further i would like to add that no backdated Egm can be held. pls reply as soon as possible.

12 March 2011 You can hold an EGM on the current date and reappoint him as MD w.e.f. 05/01/2011 and file necessary forms viz., 23 and 25C.

14 March 2011 in this case is it possible that the approval of the members can taken in the Annual General meeting of the company, scheduled to be held in August. And now file necessery forms with the ROC with effect from Board Meeting date i.e 28/09/2010 as company ready to pay penalty but not to hold EGM.
