1. Whether there is any restriction for
the period of appointment (say tenure is more than 5 years).

(Somewhere, I noticed that there is no restriction of tenure for WTD. Is it so)

2. Whether there is any restriction for
the payment of remuneration (say tenure more than 3 years).

3. How do we fill in Form 25C - whether payment details for the range of 3 years only or 5 years.

Is it necessary to mention of share transfer to other member during the financial year in Compliance Certificate?

Company has 1,00,00,000/- Rs share capital and among of its 76% shares have been transfered to other member.
Will it be valid if Company Secratory is mentioning that the company has not issued any equity shares during the financial year and the company has not bought back any shares during the financial year in its compliance certificate?
Or he must have to mention regarding transfer of shares to other members.

Can we claim this in CLB? That he has not mention regarding transfer of share.

In a Public Limited unlisted Company the term of Managing director expired on 04/01/2011. The Board passed a resolution for reappointment of MD on 28/09/2010. The AGM of the company held on 29/09/2010 but nothing was mentioned about the reappointment of the MD. Further no forms has been filed with the ROC. Now what can be done in this case. Further i would like to add that no backdated Egm can be held. pls reply as soon as possible.

Can Anyone tell me that if the company is appointing an Additional Director in its board Meeting then can the Directors give the additional Director the authority for doing some work in the same meeting in Director Capacity to him?
