11 March 2011 Can Anyone tell me that if the company is appointing an Additional Director in its board Meeting then can the Directors give the additional Director the authority for doing some work in the same meeting in Director Capacity to him?

if yes then how?

11 March 2011 Yes...a person appointed as Additonal Director is a Director of the Company in all respects.

12 March 2011 First pass the resolution for appointing him as an Additional Director and then in the same meeting you can pass a resolution delegating powers to him.
