I have filled Form 1A for availability of name ie xxxx INDIA PRIVATE LIMITED. Later i have withdrawn the name with in 60days and filled once again form 1A and used only xxxx private limited .

Know i have a query. Is the first name get lapsed, as i want the first name which i have filled in the first forms.

1.Filing of Form 23B within due date (within 30 days of AGM), whether any fees to be paid or its free?

2.Whether Auditor has a right to claim the Fees paid for filing Form 23B with ROC from its Clients?

3. Who is primary liable for filing Form 23B with ROC- Auditor or client?

4. IF Auditor Fail to File Form 23B with in due dates, who is liable to bear the Penalty or late fees - Auditor or Client?

5.Can Auditor will ask reimbursement of Fees paid including Late Fees paid for filing form 23B form Clients?Any remedy to clients or objection ?

In case of pvt limited company incorporated on 4th November 2011, kindly let me know the following dates -

1. date when the first set of financials should be prepared.

2. date of first AGM and the date of subsequent AGM for the same company.

Can First Auditor be appointed in the First Annual General Meeting of the Company if BOD Fails to appoint First Auditor within one month of registration of the company.

if Yes, Also tell the tenure of First Auditor.

Date of Incorporation is 30/07/2012 then what will be the due date of first AGM ?????
