Please advise whether fixed deposit made by a Company in any other Body Corporate is covered under Sec.372A of Companies Act?
As per the Explanation given under section 372A , 'Investment' means investment in the securities of any other body corporate, which includes shares, debentures, convertible debentures, bonds, etc. as defined under the Securities and Exchange Board of India Act, 1992 and the Securities Contract (Regulation) Act, 1956.

while preparing fix asset register for a company i am little bit confuse that whether capitalized labor charges paid for furniture should be entered in Fix Asset register or not???? and my second question is, is it compulsory to give code to every asset???? coz its being difficult to give code to every item.

my company was incorporated on 14/10/2010.

When will be its first AGM?

Since i have read somewhere that first agm of the company should be convened within nine months of the first financial year end or withing 18 months of its incorporation wherever is earlier.

Now then as per that provision it shall be convened on or before 31/12/2011.

Am i right???

How long it takes to change the registered office address to a new one for a private limited company? Is that a very big procedure? Pls advice...

A Company has changed its name from ABC Pvt. Ltd. to XYZ Pvt. Ltd. 6 months back, along with change in object clause in order to carry out Real Estate activities. Now it wants to reverse the change ie. change back the name to its earlier ABC Pvt. Ltd. with the earlier object clause.
Will the Company get the earlier name,
(i) if it applies by filing 1A/ 1B?
(ii) will it get the name if the Directors apply for new Company incorporation with the name ABC Pvt Ltd.?
Pls. advise..

1) If Share certificate is not signed by authorised signatory, will it be invalid?

2) Is signature of authorised signatory mandatory on Share Certificate?

my company is listed one and as per amended clause 41 of the listing agreement we have to submit audited result for the last quarter along with the whole financial year result.
Now my query is will it be ok if we convene annual general meeting after the publishing the audited result somewhere around august or September??

Please Provide me Information regarding Date of Share Certificate

For Example :- I have to Issue the Share Certificate After Board Resolution have been Passed Say the Date of Resolution was 01/04/2012 , Now I will Send the Certificates for Stamp Duty Franking with Banks Say 04/04/2012 , Now the Certificates will Sign By Directors after Franking as on the Date of 06/04/2012

Now my Question is What will be the Date of Share Certificate ??
will it be 01/04/2012 or 04/04/2012 or 06/04/2012

does a commission charged as on corporate gaurantee come under the services of section 297 ? please reply to the earliest.
