Please help me on this:
1) If Share certificate is not signed by authorised signatory, will it be invalid?
2) Is signature of authorised signatory mandatory on Share Certificate?

Hi
1. Yes if Share certificate is not signed by secretary or authorised signatory in addition to two directors then it will be invalid share certificate.
2. No, if the company have secretary then he/she will sign the share certificate and then not required to sign by authorised signatory. If the company not having CS, in that case sign of authorised signatory is mandatory.
