If a company have to pass a circular(any), and the Director(s) is not available at that time (say he's abrod), so can company pass circular by getting approval through mail??

actually the company for whom i works recently acquired a construction company for this i need it urgently

for e.g if on it service tax applicable what type of specific provisions to be adhere as construction company

Normally such check list secretarial department of company prepares for their purpose

Dear All

If an employee is joined in a organisation.
In pervious company PF is deducted from Employee salary but now he don't want to deducted PF in new organisation and his salary is more than 6500 and hence he is a excluded employee in PF Act.

But what is the procedure to exempt from PF in new organisation becasue PF is deducted in pervious company

im feeling a bit difficult 2 learn company law.can any one suggest some ways to read it.

One of my client company has accepted foreign fund from NRIs under Automatic Route without repatriation benefits. Advance reporting form and FC GPR was filed by the company within the prescribed time. Now the company is declaring Dividend. So what are the documents required to intimate RBI.

If a director has taken a loan from a bank by pledging his FDs,and bank transfer the funds to company's loan a/c, comapny directly repaying the loan to bank on behalf of director,

then can it be treat as a loan taken from bank by the comapny or it should be treat as a unsecured loan from director?
