can an independent Director miss 3 board meetings in continues i.e. all independend directors has not attend last 3 board meetings, there is any regulation in this regard please provide the details asap

27 October 2012 They may take leave of absence and be absent from the meeting of the Board of Directors.

If the quorum is complete, the Board Meeting will have no affect.

Yes, a director (includes Independent Director) by sending a letter of absence by post or by mail to the chairman of the Board for not attending the meeting.

There is no restriction for being absence from meeting but for this intimation to the Board is must.

If the proper quorum is not present due to leave by director the meeting will be adjourned.
