What is the complete procedure for change of name of the co and altertion of MOA for name change under the new companies act.

Please provide neccessary draft of resolutions and inf regarding forms to be filed with ROC.

According to Sec 184(1)Every director shall at the first meeting of the Board in which he participates as a director and thereafter at the first meeting of the Board in every financial year or whenever there is any change in the disclosures already made, then at the first Board meeting held after such change, disclose his concern or interest in any company or companies or bodies corporate, firms, or other association of individuals which shall include the shareholding, in such manner as may be prescribed.

Query 1: If Mr. X is a director in Company ABC and he hold shares in 50 listed companies and other companies, then Is he required to make disclosure in MBP-1?

Query 2: Mr. P son of Mr. X holds 15% shares in PQR (Not relation with XYZ) and some small shareholding in other companies, such interest shall also include under MBP-1?

The word "any Company" used u/s 184(1) has any interpretation?

I have filed Form MGT-14 for change in object clause, but ROC replies as under :

"according to sec 13(8) of companies act 2013 ,please give declaration that company has not raised money from public through prospectus and still has not any unutilised amount out of the money so raised,corresponding to previous objects of company. Form 67
(Addendum) should be filed by 12/06/2014 failing which the eForm shall be treated as
invalid and shall not be taken on record. (Please refer Regulation 17 of the Companies Regulation, 1956)"

We are new LLP incorporated recently. With form 11 filing due, I need to ask a couple of questions:

1) Is the DSC of one partner sufficient to file form 11 or do I need DSC of both partners?
2) Could you suggest me someone who could file form 11 for me in a very cost-effective manner? He/She must complete the needful reliably.

My question related to application for name approval under new companies act 2013, form INC-1 has rejected by department for already approved to other and give another chance to file within one month. My question whether i can file the INC-1 again or any other form for application for name approval? and whether the second chance will be without payment of fee or again payment of fee ?

1. I was appoint a Auditor in First Board Meeting of the New Company for the fy 2013-14 , can required form 23B submit to MCA. if yes which form as per New Companies Act & Rules 2013. 2. And also appoint Auditor in another company in AGM can required to submit the Form 23B.

Kindly clarify my following queries:

In Form 23AC for ‘Details w.r.t. CARO 2003, should we select ‘Favourable Remarks’ or ‘Clause not applicable’ for the following:

A private company did not have Inventory.
A private company did not accept Public Deposits.
A private company did not allot Shares or make any preferential allotment.

Note: CARO applies to the company, as it had availed TL from Bank for more than Rs.25 Lacs.

Kindly guide me on the above queries.
