Whether a partnership Firm can do the business of lending money ( Financing Business ) out of its own capital fund ( no deposit or unsecured loan ).

Further whether a Private Limited Company can become one of the partner. There are owned funds and no deposits. (In the Pvt Ltd Company all funds represents to Share Capital. There are no unsecured loans or deposit).

Our query is by becoming a partner as above said NBFC Provisions will attract to company or not.

A Private Limited Company wants to Increase it's paid up share capital( Equity) from Rs.28,00,000/- to Rs. 50,00,000/- by issuing it's share to the relative of both the Directors of the company. The company has Authorised Share Capital of Rs. 50,00,000/-. Please suggest the details procedure to be followed as per Company Act,2013 and ROC compliance.

can A Private limited company instead of appointing additional Director can directly appoint a Director or Managing Director ?

The name of Private Ltd company was strike off by ROC.

Can the said company still carry on business and maintain the bank account?

What is the present status of the said company?

Dear Sir, Query : what is impact of Share Application Money accepted after Oct 2013 which is not allotted ? e.g : A Pvt.Co and C Pvt Co. company have introduced Share application Money in (B) Pvt . co., SPV of A and C. in Oct 2013, Dec 2013, and Jan 2014. if, now A will not allot share till this day e.g may 2014 or , than it would consider as Loan ? Section relating to Share Application are : 42, Rule 11 of Prospectus & Allotment. Regards.

According to section 185, Loan cannot be given to director or other person in whom the director is interested either its a pvt. co. & Public co.

Now if company has made loan to pvt. company in which director is a director but the same is repaid during the year 2013-14 and at the end of 31.03.2014 balance showing nil.

My question is even if the balance is nil, but the company has given to pvt. co. in which director is director, so the penalty liability will be arised to company & the director under sec 185 of comp, act 2013.

So, How can we escape from such liabilty.

Hello Sirs I request for your knowledgeable advice. Even after mandatory requirements, a few companies have not offered e voting facilities before Agm /egm. Can a Private limited co. accept deposits and unsecured loan from Another Private Co. and Partnership firms. If yes, then is there any formalities and regulations to be fulfill.
