can A Private limited company instead of appointing additional Director can directly appoint a Director or Managing Director ?

1. A private company can directly appoint a person as director in the General meeting with the approval of shareholders.
2. However if you want to appoint someone as MD, then first appoint him as director and then appoint him as MD.
A person cannot be appointed as MD directly.
