Can any one provide me procedure for obtaining COMMENCEMENT CERTIFICATE of Private Limited Company.

Hi, While I applied for DIN, I had given the name of my client in first name, but as per IT site it was Surname. It was approved at that time. Later while filing INC 7 , it was showing error saying Surname is mandatory. So I uploaded DIR-6 giving name as surname. Now while prefilling, the name(Shobha) is coming both as first name and last name but name of director is still Shobha in MCA record. How to correct it? Pls help.

Can any one tell me is their Huge amendments for may 2016 examinations in Co. Act. since their is specific sections mention on institiue website altough institue has only mention insurance act 2015 only or pls send any link for new sections

I HAVE FILED DIR 11 FOR THREE DIRECTORS OF THE COMPANY AND THERE ARE ONLY 3 DIRECTORS IN THE COMPANY. DIR 11 IS GOT APPROVED BUT NOW I CANNOT APPOINT NEW DIRECTOR AS THERE IS NO DIRECTOR OF THE COMPANY AS ALL HAVE FILED DIR 11. PLS NOTE THAT DIR 12 IS YET TO BE FILED BUT STILL THE ROC WEBSITE IS NOT ACCEPTING DIGITAL SIGN OF THE DIRECTORS WHOSE DIR 11 IS FILED.

HOW CAN I APPOINT A NEW DIRECTOR AND HOW CAN I PROCEED FURTHER

We apply for company incorporation through inc 29 route but roc rejected application on basis that name is resemblence with some other company and they give us suggestion that if u want to get that name ....firstly u should buy old dead company and then apply for name change of that old dead company to get name for which we applied earlier.
If roc officer reject application of inc 29 erarlier on basis of name resemblence error ,how can they provide same name through dead company route.

Is it compulsory for foreign company having branch office / Liason office in india to file income tax return in the year in which business is closed. For instance, business of company is closed on 27/07/2014 and certificate of closure is obtained from ROC is on 27/07/2014 then is it compulsory for the company to file Nil Income Tax Return for A.Y. 2015-16. Please resolve this issue as soon as possible.

Dear Sir,

MCA has exempted private companies from compliance with provisions of section 185 of Companies Act, 2013. Subject to fulfilment of three conditions :

1) no body should be member of a private company

2) the "borrowings" of such private company should not exceed twice of its paid up capital or 50 Crore whichever is lower,

3) private company should not make any default in repayment of loans.

Whether in condition no. 2 above the word "borrowings" means total borrowing including term loans and working capital or only term loan ????

Kindly give clarification on this points.
