Company B Ltd Hold 30% share in D Ltd
and Comapany C LTd Hold 30% Shares in D ltd

Now Comapany A LTD Has Follwoing 7 Directors called
P, Q, R, S, T , U, V

Company B Ltd Has Following 6 Directors
P,Q, R, X,Y,Z

and Company C Ltd Has Following 5 Directors

P,Q, R, G, & H

Now can company D Ltd can be said to be sunsidiary of any of Above three companies Say A Ltd , B Ltd, C ltd

Kindly give reference to Comapnies Act and Accounting Standards Provison.

A Pvt. Ltd Company has three Directors holding 200 shares of 1000 INR each (fully Paid ) as follows :-

Mr. R - 100 Shares
Mr. p - 50 Shares
Ms. S - 50 Shares


Now Mr. P & R want to transfer their share to Ms S
and a New Director Mr. E is appointed in the company without having any Share Capital.


What is the Procedure to Transfer of Shares of Mr. P and Mr. R to Ms. S.
and issue procedure for Mr. E


Pls Specify what are the Forms which need to be File With ROC

well in Form 2 there is one column " Brief particulars in respect of terms and conditions, voting rights etc. of shares" so what exactly should be mentioned in that respective blank space?

Mine is listed Co. we have recd request for issue of Duplicate Share Certificte fron 2 shareholders holding 500 shares each. Can u pl tell what are the compliances to made under Listing agreement and whether details of lost shrae certificates is reqd to be given in floppy to the Stock Exch.
