I am in the process of incroporating Pvt ltd Company having main object as "Clearing and Forwarding Agent". I have prepared the main object as follows,

("To establish, organize, manage, run, charter, conduct, contract, develop, handle, own, operate and to do business as fleet carriers, transporters, in all its branches on land, air, water, & space, for transporting goods, articles, or things on all routes and lines on National and International level subject to law in force through all sorts of carries like trucks, lorries, trawlers, dumpers, coaches, tankers, tractors, haulers, jeeps, trailers, motor buses, omnibuses, motor taxies, railways, tramways, aircrafts, hovercrafts, ships, vessels, boats, barges and so on whether propelled by petrol, diesel, electricity, steam oil, atomic power or any other form of power.")

is it correct if not please suggest altered main object

if loan has been taken from the family member of any director of the company,
whether the max. outstanding amt. of that loan should be shown in an auditor report u/s 301 or not?

One Private Company registered as NBFC can accept public deposits?

If No then what would be better option , either 1. to convert into Public NBFC Company or 2. convert into Co-operative Bank ?

My query is whether a person who is a member of the subsidiary company as the nominee of the holding company has to file declaration under Section 187(C) of the Companies Act, 1956? Whether the declaration as to not holding beneficial interest in the shares applicable to the nominee member?

Can a additional director sign the form 32. Since there is no option for additional director in the form. Can he sign as a director

Whether can he be appointed as a director of another public company within five years from the failure...?

Query regarding Board Resolution Date in Form 20B - Annual Return.

Kindly clarify me on the following :

Date of BOD resolution : 01.09.09
Date of AGM : 25.09.09

In Form 23AC & Form 23ACA, I am putting the date of BOD resolution as 01.09.09. This must be OK.


But, in Form 20B, can I put the same date i.e. 01.09.09 ?

or

Which is the appropriate date (i.e. whether separate BM on the AGM date) to mention in Form 20B ?

I would like to have a copy of the notification of Company Law which restricts the use of the designation Director for people who are not actually on the Board of the Company.
