04 December 2009 RESOLVED THAT subject to the provisions of Section 17 of the Companies Act, 1956 and approval of the company by a special resolution at a general meeting of the company and such other approvals as may be necessary, the existing Clause _____of the Memorandum of Association of the company be altered by inserting therein new sub-clause/s ___ as set out below:

RESOLVED FURTHER THAT a special resolution according approval to the proposed alterations by the members of the company be proposed at an Extra-ordinary General Meeting to be convened and held on____ at ____ at the registered office of the company and the Company Secretary be and is hereby authorized to issue notice of the said meeting together with related explanatory statement, in the draft placed before this meeting, to the companyâ€™s members in accordance with the provisions of the Companies Act, 1956 and the Articles of Association of the company.

Existing object clause in 111(A) shall be numbered as sub clause(1)
After sub clause (1) in 111(A) following shall be inserted as sub clause (2)
