As per co.s act a pvt. ltd. co. is exempt from the managerial remuneration provisions that are applicable to public ltd. co.s. Can anyone tell me

1. what is the procedure of fixing remuneration of M.D or the other directors in a Limited Co.?

2. Is it mandatory to file Form-23?

3. Is it mandatory to file Form25C?

I mentioned Ordenary Resolution is it correct?

Mr.A resigned (Ltr dt. 1.2.10).

X Ltd. accepted the same on 5.2.10 and relieved him from services on the same date.

Mr.A got appointed in Z Ltd. on 10.2.10.
