XYZ company's accounts are not audited. the company held the AGM before due date and adjorned the same for adoption of annual accounts. The maximum period within which the AGM must be held has expired, the company dint take any extension. Will the directors be still in default for not holding the AGM?? Since the AGM could nt be concluded for presenting of annual accounts.

Penalty under section 210 shall apply.

Please advise as to what shall be the penalty for not concluding the AGM.

Plz clarify the period of contact u/s 297 (initial period). Can it be for just 3 yrs or more than that ? I doubt this period because i had taken an approval for this but the period of contract was 4 yrs and the C.G aprroval was granted.

WE HAVE A COMPANY WHICH IS DEFUNCT AND IS NOT CARRYING OUT ANY OPERATIONS SINCE 2000. THE EMPLOYEES AT THAT TIME WHERE MADE THE DIRECTORS AND HAVE LEFT THE COMPANY TO TAKE UP JOBS ELSEWHERE. SINCE THEY COULD NOT BE TRACED TILL TODAY, THE ADVANTAGE OF EES 2010 COULD NOT BE TAKEN. PLEASE ADVISE IF THERE IS ANY EXTENSION OF THIS SCHEME?
