01 September 2010 When there is an agreement for sale of property in Noida by Public Copany then is it necessary to pass resolution at general meeting or resolution at board meeting will suffice.

What if Co is private company?

Can Co give authority by resolution or general power of attorney to sign the sale deed

01 September 2010 Unless it is a sale of undertaking, member's resolution is not required. Otherwise, special resolution.

In case of private limited company, even if it is an undertaking, member's resolution is not required.

Yes. authority for sale of property can be given to any authorised person.
