Closing of a Pvt.Ltd.Company

31 August 2010 We had a registered pvt.ltd. in 2004, but due to some reaons, we closed down activities of company in 2005 only! Since then we have not submitted any B/S , audit reports to ROC. Now, we have recieved a notice from ROC asking us to submit the same within 15 days or to face a legal action.
What's the solution on this? Can we apply immidiately for closure of the company and get out of this problem? What;s the detailed procedure to do so??

31 August 2010 Solution is :-
1. Pending matters are to be regularized by filing annual returns etc.
2. Move a petition for striking off the company under section 560 of the companies Act,1956.
