As per clause 41 of the Listing Agreement, whether the Limited Review is to be undertaken by the Statutory Auditor before the Unaudited Quarterly Financial Results are placed before the Board or after the same has been submitted to the SE???????

Can an internal auditor be appointed as the scrutinizer for the purpose of alteration of object clause via, postal ballot?

Hello Sir,

I have completed the fill-up of MCA Form-1A for name availability of my company. I have validated the digital signature for the applicant also.

I have completed "CHECK FORM" and it was OK.

And now when I press the SUBMIT button there comes a dialog box displaying "you need to connect to mca site to submit this form" and after pressing OK nothing is working.

I form didn't submit at all and can't continue. I just got stuck in the form submission button.

Anyone please help me!

Please tell me how to convert one pvt. ltd co. as subsidiary of other pvt. ltd. co. ?(Both comapny are already Registered with same ROC).

'A' pvt. ltd. co. which is wholly owned subsidiary of 'B'Pub Ltd..

My question is : ‘A’Pvt. Ltd. company attract provisions of ‘B’ Pub. Ltd. as per co. act, 1956 ?? or will get benefit as are earlier available as Pvt. Ltd.??

Just brief provisions the provisions which are applicable to ‘A’ Pvt. Ltd.!!!

Dear All

Please note that my Company has changed its status from Private to Public. The Company had appointed managing director while it was a Private Co.
My query is since the appointment was done through Board resolution as articles permitted to do so, the remuneration and period of his appointment was not fixed.
Now since the company is public, what would be the status of the managing director and what all provisions have to complied with?
We are planning to appoint him as a managing director via entering into agreement. What will be the effective date of his appointment?

My Co. is Public ltd. Maharashtra. Face value of Share rs. 10 & Premium Rs. 10. The Stamp affix to share certificates are of Rs. 10/- Pls. tell me is it excess stamp duty paid??
I think Stamp to be affix should be of Rs. 5/-

Please let me know, whether it is statutorily required to open a seperate bank account for depositing the proceeds of the pref issue of warrants ( ie 25% payable intially) or can the company keep the proceeds in a current account only???

Recently MCA has introduced EES, 2011 u/s 560 of the Companies Act for getting the name of Company strike off from the Register of the Companies & implication of this would be the Company will get dissolved.

My question is - Is any resolution is required to be passed by the members of the Company authorising directors to apply under the scheme?
