23 December 2010 A member(Pvt Ltd)placed a requisition for calling an EGM. is it mandatory to issue a notice for EGM by the board to all members? if so, then please provide such format of notice.

23 December 2010 Yes, in case requisition is received from a member of the Company, it is must that the notice of EGM be served under an authority of the Board of Directors to all the members of the Company.

23 December 2010 I would like to add further that as per Section 169 the Board is required to convene EGM only if such request is received from members holding not less than 1/10th of the paid up capital of the company carrying voting rights.
