Please help me I m unable to upload Form 32 bcz the co. status is Dormant, I have already filed Form 61 in 5th Dec.2011 and but the Annual Return and B/s are pending to file from 2007 to 2011 and Form 32 of Director appointment is 1st Sep. 2007(no need to file DIN 3).

As per section 163 Statutory register can be kept at any place within CITY other than registered office by passing special resolution

As per section 209 books of accounts can be kept at any place in india by filing form 23AA within 7 days. Books should be maintained for 8 years.

My queries are :

1. Which books are covered under 163 and 209. What is the diff between the two.

2. As per my understanding minutes books are statutory register under section 163.
Does minutes also included in section 209 and they are to be maintained for 8 years.

3. What is the procedure if we have to keep
Statutory register OUTSIDE CITY where registered office of company is situated ?
OR we cant keep them at any place in INDIA.

My friend has registered his company with ROC on 28-08-2008. but, for some reason he has not continued his business. Registration Certificate received from ROC dated 28-08-2008. From that date onwards he is filing his Income Tax Returns but, he has not filed any of the ROC Returns. Now he wants to close the Company as per ROC Records also.

Can anybody explain me what is the procedure?

I've heard about some FTE Scheme. It is complicated.

Whether he has to file all the ROC Returns from the Incorporation date and then he can go with FTE Scheme?

while filing form 32 with roc the following error has occured." the signature validation has failed and the person is not authorised to sign on this field"
but the directors digital certificate has already been registered with roc and his name is within the signatory authorities approved by the company.
not able to trace the reason for such error.
