is there any restriction for professional for signing the annual return for Professional i.e CA, CS, CWA

If a Company's status changes from a wholly owned subsidiary of parent Co. to just subsidiary, is the change in equity participation ratio to be reported in the Directors' Report for the f.y. ended 31.03.2012, especially if the Company had reported itself as 100 percent subsidiary of Parent co. in previous f.y's Directors Report?

Pursuant to the provisions of Section 149 (2A) of the Comapnies Act, 1956 a Private Limited Company does not need to pass a Special Resolution to Commence New Business stated in "Other Objects" of a Company.

Kindly note that we altered the Other Objects of the Company by inserting a new Object of Fashion Designing whereas the Main Object the Company is of Infrastructure. So, can the COmpany move ahead by Commencing the New Business without obtaining any approval fron ROC??

Also note that we have received approval from ROC regarding alteration of Other Objects of the COmpany.

Do I have to file Form 1A and Form 1B while conversion of a pvt. co. to a public co.??
Suppose the name of the company is XYZ Pvt. Ltd. and after conversion it shall be XYZ Ltd.
Now for the same do I have to file Form 1A for name approval?? and further form 1B??
What is the complete procedure?? The company has 3 directors and 7+ members, apart from altering memorandum and articles and form 23, What further steps are to be taken..???

1 of the shareholder of the pvt ltd co wants to transfer his shares and therefore he has requested the company to provide him provisional balance sheet on the current date. i.e 16/06/2012. with valuation of per share as per discounted cash flow method.

can the company give such provisional b/s as on the date mentioned? or the valuation of shares be done as on 31/03/2012.
