Is board resolution sufficient for increase in the salary of Managing director within limit specified in schedule Xiii ,if at the time of his appointment members conferred power to Board to increase his remuneration within the limit ?

I want to ask is it required to take approval of board or I have to directly make entry in register within 30 days and after then presented before board???? The loan is within the power of board u/s 292.

One more thing that interest paid to director or body corporates agains loan taken also require to enter in register??????

There is a Privbate Limited Company limited by shares who has 2 shareholders. The company allotted shares to 19 other people hence after such allotment there shall be 21 total members. For such an increase in number of members do I need to file Form 5? If not then is there any form to be filled with MCA21? Is form 5 only for increase in number of members for Company Limited by Gaurantee?
