for compliance of Clause 49, 35, or Quarterly Compliance of Listing agreement, can i pass a board resolution for that? if yes, kindly give the format of the same?

No, you will only take note for adoption of compliance certificate and no need to pass any resolution for that.
For Example:
The Board took note of the Corporate Governance report for the quarter and nine month ended December 31, 2011 as per clause 49 of the Listing Agreement.
