I need a highlights of Companies Act 2013.
Really confused regarding the Annual filing of companies. what are the major changes in the new act.Is there any change in the format of annual return, auditors report and directors report.will these new provisions will be applicable if notice is prior to 30/08/2013?? and what are the extra requirements regarding annual return filling of Companies other than listed companies.
And please also explain the appointment of stat. Auditors? will this rotation of 5 years effective retrospective?? and due to this changes in directors report need a copy of that??



Please guide me in this regard.

Where as per the Old Co., Act Managerial Remuneration is not applicable to Pvt co.,

Could you please tell me whether Managerial Remuneration is applicable to Pvt Co., as per New Companies Act 2013

If it is applicable which Section.

There is a confusion between old act and new act.

I got name approval for sec.25 company, documents are not ready yet, i would like to extend my name approval for further 30 days what is the form i have to fill in MCA.

Some body given suggestion as fill Form 1AR but it is not in MCA website is there any alternative?

Hello everyone,

i am filing annuual accounts and annual returns of a private limited company.

while uplading various annual accounts and annual returns forms error is displayed that DSC of director is revoked.

DSC is already registered and it is valid/not expired.

what is the solution ?

Is it essential for a Pvt Ltd company (having assets n bank balances running into lakhs) to hold such meetings every year?
In holding such a meeting is it essential for the Directors to send Notices to all shareholders at their registered address? If so,can it be by ordinary post or by Regd post?
What can be done if for nearly 10 years they have not done so; can they just close down the Company?
I am a 25 pct shareholder in one such company
