05 October 2013 Is it essential for a Pvt Ltd company (having assets n bank balances running into lakhs) to hold such meetings every year?
In holding such a meeting is it essential for the Directors to send Notices to all shareholders at their registered address? If so,can it be by ordinary post or by Regd post?
What can be done if for nearly 10 years they have not done so; can they just close down the Company?
I am a 25 pct shareholder in one such company

06 October 2013 As per section 166 holding of AGM is compulsory for every company even if there is no business at all.

All the compliances for the same are mandatory. First you need to check whether your company is active in ROC or not?

You should hire a good professional for the same work.
