IF THE CO. HAVING A RESERVE AND SURPLUS AND THE COMPANY WANT TO DECLARE DIVIDEND AFTER FINALIZATION OF BALANCE SHEET . IS THERE ANY RULES REGARDING THIS IF YES THEN PROVIDE THE SUGGESTION.

If AGM of a pvt. ltd co. could not be held within 30.9.10 for 2009-10 due to non completion of Audit what are the steps the co. have to take to get a permission from RoC to held AGM within Dec,10. The date of last AGM held is 30.09.2009 for 2008-09?

We are a NBFC Co regulated by RBI. We are not carrying out the activities of NBFC. Now we are in the business of investment in Real Estate. We want to change the co's name. Kindly advise me. If possible kindly send the draft of sepecimen board resolution to be passed.

I would like to know what kinds of transaction in respect of related party to be mentioned in in point no. 14 of form 23AC of ROC..

while reading the instructions for form 23AC, its says that " The Gross value of Capital items as on the date of Balance Sheet for transaction with related parties should be entered as per AS 18"

my que is :

what are capitel items for transaction with related parties as per AS 18 which are mentioned in column no 14 of Form No. 23AC of ROC??

plzzzzz tell me the procedure of appointment of director in a pvt co.

One company has not filed return for last 3 years

Now we have to submit them but out of 7 directors we have DIN of only 1 directors, the directors do not remember their DIN or some of them have no DIN. Now what is the procedure for the confirming how many of the present directors are having DIN?

1.If one share certificate is splitted in to 3 share certificates, is it compulsory to get those share certificates to be get it stamped.
2.Is it compulsory that the stamp should be affixed on the face of the share certificates
3.If the share certificates has been issued in 2005 but the share certificates do not have any stamp duty on the face of the share certificates.

Kindly advice what can be done in all the 3 senarios.

Sir as per co's act before declaring div. We have 2 transfer certain % of profit of current year to reserves. If in current year there is loss n co pays div from part profits in p&l acc. Then how much can be transfered as in CY There is no profit
