Additional Director

Can a director of XYZ company ltd (the company) be nominated by a wholly owned subsidiary of the company and the appointed as an additional director of the company.

I have a doubt like a wholly owned subsidiary has no interest in the holding company then on what basis can the wholly owned subsidiary nominate a director to the holding co.

Regularisation of additional directors

One company is taken over(100%) by other company, while tranfering, transferor company appointed two directors of transferee company as 'Additional Director' after some time the Transferor company directors resigned. so that only additional directors are remaining in the Board, their term of office will expire on the date of next AGM, at the AGM they are not directors. what are all the methods available to regularise the Additional Directors, before the date of AGM.

Minimum face value of shares

Respected Experts,

Can a unlisted company be incorporated with a face of value of shares less than one rupee..
and secondly can we alter the face value to less than one rupee for already incorporated as unlisted company.. please provide section numbers or case laws as applicable

Attendance of Directors at AGM

Is it mandatory for a Director to be present at an AGM of a Pvt. Ltd. Co.?

Also whether an AGM can be held without the presence of any of the directors of a Pvt. Ltd. Company?

Can a Pvt.Ltd Company accept I.C.D ?


Dear All,

Can a private company accept Inter Corporate Deposit (I.C.D) from public or from its promoter company?

Suppose X Pvt.Ltd., is promoted by Y Ltd., and Z Ltd.,. in this situation, can X Pvt. Ltd accept I.C.D from its promoter companies Y Ltd.& Z Ltd. ?

LLP incorporation proof

What can be the address proof of a LLP to be incorporated. The address of the proposed LLP is not the address of the Designated partner.

Since LLP is not in existence, what can be the proof. Urgent. Reply Asap

Companies Easy Exit Scheme, 2011

hello my client had promoted a company in March, 2009 to construct a hydro project but due to technical unviability of the project he didnt start the operations. He wish to exit the company under the present Easy Exit Scheme. whether companies incorporated prior to 31/03/2008 are only be eligible for exit under the above scheme or this company can also exit. please clarify.

When there were only two/three directors on board one of director die. .now board has only one/two director in Pvt. Ltd./ Pub. Ltd.!!! My question is whether one/two director can appoint another one as director ??? in what basis as additional director?? Or as casual vacancy???

What will be legal compliance in this situation board meeting is enough one ??or have to call EGM??? & what are procedural step I have to follow if it is Pvt. Ltd. ??? what will be different steps if it is Pub. Ltd.???
