Could u please provide the format of Board Resolution for allotment of shares post merger to transferor company.

20 January 2011 “RESOLVED THAT

a) pursuant to the order dated ……………………. passed by the Hon’ble High Court of ……………….. and in accordance with the Scheme of ……………………………………….. with ………….. approved by the said order, ……………. shares of the Company be allotted to the shareholders of ………………………. as given below

b) the shares allotted as mentioned above be credited to the beneficiary account of the allottee as per the instruction / request of the allottee.
c) …………………….., Directors, be and are hereby authorized jointly and/or severally to file the necessary returns with the Registrar of companies in this connection and also to make the Listing application in respect of the new capital issued and also to do all such things and matters as may be required in this connection.
