Filing Form 8 with ROC in case of OD Loan against FDR

Please suggest me, is it necessary to file form 8 with the ROC for creation of Charge in case OD Loan against FDR.

19 January 2011 This is a case covered under section 125(4)(e) of the Companies Act,1956, and hence creation of charge by filing e-form 8 is not necessary.
