Can any one suggest me the procedure need to follow when the both director are died (husband and wife)and only one director left (son). The son (3rd. director) would like to appoint second director to sign the audit report and the court already allowed him to do so. The court involved in this case because the company are already desolved and the son filed to the court to activate the company.I also need sample of board resolution for the above actions. Thank you.

the former CS had furnished a notice to the company as on 15.02.2012 & date of leaving was 14.03.2012
Date of BM to accept the resignation is 23.03.2012
1)What will be the date of resignation to appear in e-Form 32 will it be 15.03.2012 or not?
The existing Assistant Company Secretary has been promoted to such position and the same was resolved in the BM held to on 23.03.2012, please suggest as to what should be the date of appointment of the 2nd CS??

(2) can he be appointed in back date, say, w. e. f. 15.03.2012(a day after the resignation of the former CS)via mentioning the same in the resolution so passed? or date to appear in the e-form 32 should be the board meeting date??
(3) can both the appointment & resignation be filed in the same e-FORM??

as the charges of the Company are since 1994... so can i file petition before CLB today...

One pvt co has incorporated in 1996 redg. address at ROC pune. In 2005 company has shifted from pune to Mumbai roc. Company has increased it’s autho. capital, filed annual return in 2005 at Mumbai ….docs shown the details of Mumbai address...after 2005 company has not filed any return with Mumbai roc..now we have approach to Mumbai roc they are saying that it is still under pune roc…

I request all members to pl guide me on this matter.

Dear expert, our company allotted shares in 2004, increasing paid up capital from 2.5 crore to 5 crore, but didn't file form 2.

Later company allotted shares and filed form 2 increasing paid up capital from 5 crore to 6 crore in 2011.


Now can we file e-form 2 for increase in paid up capital 2.5 crore to 5 crore, as i worrying here that there may be duplicate entry and MCA may show company's paid up capital 5 crore instead of 6 crore!!

I am fill e-Form 2 Allotment of share, but by mistake the date of allotment is wrongly filed.
The coorect date of allotment is 10/2/2012 but in the e-Form 2 is mention as 10/3/2012.
