I want to incorporate a company, for applying DIN for one of the proposed director, the name in the PAN card is wrong. so if i apply DIN and aooly for the name availability( as the name may not be available if i wait for the change in PAN card.) Is there possibility for changing the name with ROC in DIN.

If it is possible, what will happen in the Subscriber's sheet of MOA & AOA. Will old name continues or can be replaced with new name

I just want to know whether Sec 372A limits applicable on corporate guarantee and bank guarantee given to customers/vendors.

and also want to know whether any loans given to customers/vendors.
becaz i heard that Sec 372A applicable only on related companies/group companies/ subsidiary etc.

I have applied for the name of a Pvt Ltd in Form 1A for which office needs to be open in Delhi so I filled the Registrar as NCT of Delhi therein..... but the same form 1A got rejected due to some reason. The main problem before me is that now I wanted to change the Registrar to U.P as client is opening office in noida now, instead of Delhi. While doing resubmission of the Form 1A with the changed registrar of the proposed pvt ltd company the form doesn't gets uploaded, it says the error as Registrar is Different cant be submitted.
Please do suggest what needs to be done, I have to file the company name in the U.P only not in Delhi.
Please do let me know can I use the payment done in old form 1A having jurisdiction as Delhi in the new form 1A having jurisdiction in U.P. or do I need to pay the amount of Rs1000 again for applying the name in U.P. jurisdiction and wasting my money in the form1A paid earlier.

We are a private company(100% foreign subsidiary). In March,2012 we have alloted shares to our foreign holding Company.Now we are going to issue Share Certificate.Company's register office is in Delhi and Board meeting for this allotment was held in NOIDA.Now what is the procedure to pay stamp duty for this allotment?

As per Comapines Act 1956 section 205 C Any amount in the unpaid dividend Account of the Company which remains unclaimed and unpaid for a period of seven years from the date of transfer of such amount to the unpaid dividend account should be trasferred to the investor education and protection fund.

my question is above Amount unpaid dividend account transfer is book Account amount or Bank Account Amount ? Incase before expiry of seven years within 6 to 3 month before we reissue cheque to shareholders in repect of their request for claim their eligble dividend but till date not that amount to paid by bank/ not enhance by shareholers in that case unpaid dividend account amount differ in book Balance and bank balance which amount we transfer to IEPF?
