HI,

PLEASE I WOULD LIKE TO KNOW WHAT IS THE PROCESURE WITH DOCUMENTS AND FEE ETC.FOR FOLLOWING :-

1:- APPLYING FOR DIN WITH TIME LIMIT
2:- CHANGE FOR SHARHOLDING
3:- APPOINTMENT OF NEW DIRETOR
4:- RESIGNATION OF DIRECTOR

MOA and AOA

whether MOA or AOA are required to be filled with ROC in Case of incorporation of a pvt co.or not.

consent of director

when a pvt co is formed,promoters have to submit Directors consent to ROC.Do you know the form number.if yes plzzzzz tell me.

Payment of bonus act

Regards applicability the act says the following:

" Every other establishment employing at least 20 persons on any day during an accounting year."

Would that mena that literally every small shop like stationary or grocery and all corporates come under this category provided they employ 20 or more employees?

Gratuity Act

Regards applicability of the said Act, it is mentioned that:

1. Every shop or estabalishment within the meaning of any law for the time being in force in relation to shops and establishments in a state, in which at least 10 persons are employed, or were employed, on any day of the preceding 12 months.

Would that mean that literally every shop say stationary or grocery shop even would be covered under this??

2. Formula for computation of gratuity in case of piece-rated employees??

EPF Act 1952

Is the employer bound to pay 10% as employer's contribution irrespective of the level of income of the employee? Or do we have a ceiling for such income say Rs.5000 or Rs.10000.

registration of charges

Hello friends I have query regarding following question:
What are the consequences for the company and/or Auditor the lending bank/financial institution if no action is taken on the question raised by the ROC regarding charges created/modified and they remain unanswered? Are the consequences different when the company goes into liquidation?

Hello friends I have query regarding following question:
At the time of giving notice for candidature of Director u/s 257 whether allotted DIN for candidate is necessary? What will be the position where DIN application is rejected or that Din can not be obtained by the appointed person for want of certain documents?

urgent -permanent directors

A public limited co; has some directors as permanent directors.They have been appointed as permanent directors by general meeting, but the minutes does not show whether the resolution is an ordinary or special resolution. Form 23 is also not available on records.

The co; now wants to remove its permanent directors; so what is the way out. under which sections of companies act can their powers as permanent directors be stripped offr
