Dear All,
Whether Form 32 is required to be filed with the ROC for Appointment of Additional Director as a regular Director in an AGM. Please provide reasons and necessary circular or notification, if any!

Yes. Department's clarification letter 8/16(1)/61-PR dated 9/5/1961 and sections 264 and 303 may be referred.

Dear Sushil,
Additional Director is appointed by the Directors in a Board Meeting under the provision of Section 260 of the Companies Act, 1956. The same appointment has to be regularised by the members in the General Meeting. You will need to pass a resolution the general meeting and then file form no. 32 within 30 days of the meeting which will be change in designation from Additional Director to Director.
