Can i circulate minutes of a meeting taken place amongst directors for its valid implementation under 289?

meeting was held basically as an action taken of a board's decision on a matter. pls advice

my concern is to understand a procedure for resolution by circulation to get an approval on the minutes of a meeting without conducting a proper board or a committee meeting.

maybe am able to place my question in a better form.

my only concern is now if Board has formed a committee for solving an issue.

now can the minutes of that committee (which met and discussed the issue), be confirmed and ratified by resolution by circulation since a board meeting is too early to call.

25 July 2013 As per my understanding the committee has no power to rectify the resolution passed by the Board of Director.
