respected member pls help to provide procedure for removal of Shareholder of pvt ltd & ROC formalities if any & is there any need to change MOA/AOA.

Hi
As per my knowledge you can not removed the shareholders under Companies Act, 1956. However you can bye back shares of the same.

Take resignation of erstwhile member and trnasfer the shares in the new shareholder's name.

i want continue with existing 2 sharehoder after resignation of 1 Director as well as he shareholder of the co. he also subscribe to moa i want to delete their name from moa is it possible if yes what are formalities for that require for that & procedure for that.

You can not remove/change the subscription clause of MOA/AOA after incorporation of company in whole life of the Company.
